Welcome to ClearTimeline! By using our services, you agree to comply with and be bound by the following Terms of Service (the "Terms"). Please read them carefully. If you do not agree to these Terms, you should not use our services.

Acceptance of Terms

These Terms, along with our Privacy Policy, constitute a legally binding agreement between you ("User", "you", or "your") and Prime Techix, trading as ClearTimeline ("ClearTimeline", "we", "us", or "our"). Our business operates remotely without a physical office location.

By accessing or using the ClearTimeline website, web application, and services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

We may update these Terms from time to time. Unless otherwise required by law, we will notify you of any changes and give you an opportunity to review them before they become effective. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those Terms.

Description of Service

ClearTimeline is a professional timeline and documentation tool for freelancers. The Service aggregates and presents data including but not limited to:

• Project timelines with immutable proof entries
• Scope tracking and change documentation
• Client approval requests with tracking
• Client Progress Portals for sharing updates
• PDF export functionality for dispute documentation

Data Accuracy

While we strive to ensure the security and integrity of your data, we make no guarantees regarding:

• The suitability of the Service for any particular purpose
• Uninterrupted or error-free operation
• The legal enforceability of documentation in any jurisdiction

Users should independently verify information and consult legal professionals before relying on documentation for legal disputes. The Service is intended for professional documentation purposes only and should not be considered as legal advice.

Communications

You agree that we may send you emails and other communications related to your account and/or use of the Service. If you represent a for-profit entity, you consent to our use of your company's name and logo in our promotional materials unless and until you notify us in writing to cease such use.

Intellectual Property Rights

You acknowledge that we own all right, title, and interest in and to the Service, including all intellectual property rights relating to the platform, design, and proprietary features. You agree not to copy, reproduce, modify, reverse engineer, decompile, disassemble, or create derivative works based on the Service or any part thereof without our prior written consent.

You retain all rights to the content you create using the Service (project data, entries, etc.). By using the Service, you grant us a limited license to host, store, and display your content solely for the purpose of providing the Service to you.

Use License

ClearTimeline offers both free and paid plans, each with its own set of features.

License Grant

Upon accessing the Service (whether through a free or paid plan), you are granted a non-exclusive, non-transferable, and revocable right to access and use the features of the Service as specified in your chosen plan. This license is for your personal or internal business use only.

Restrictions

You may not:

• Resell, redistribute, or commercially exploit the Service without our prior written consent
• Use automated systems, bots, or scrapers to extract data from the Service
• Share your account credentials with others
• Use the Service for fraudulent or illegal purposes

Accounts, Passwords, and Security

To use the Service, you must create an account by providing a valid email address, your name, and a secure password.

If you choose to create an account, you are responsible for maintaining the confidentiality of your password and account information. You are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

If you delete your account, the data will be flagged for removal and deleted from our systems within 90 days and from backups within a limited period thereafter.

User Conduct and Responsibilities

You agree to use the Service in compliance with all applicable laws and regulations.

Prohibited Actions

• Engaging in any illegal activities using the Service
• Attempting to gain unauthorized access to any part of the Service
• Using the Service to harass, defame, or harm others
• Interfering with or disrupting the Service or servers
• Scraping, data mining, or using automated tools to access the Service without permission
• Creating fake or misleading project data to defraud others

Payment Terms

For Users on Free Plans

No payment information is required for using our free plan features. The Starter plan is free forever and includes 1 active project, up to 25 proof entries, up to 5 scope entries, and up to 3 approval requests.

For Users on Subscription Plans

If you subscribe to a paid plan, you agree to pay all applicable fees. The Professional plan costs £15 per month (or £144 per year). Subscription plans automatically renew at the end of each billing period unless canceled by you via the Service or by contacting info@cleartimeline.com.

All payments are processed securely through Stripe. We reserve the right to change pricing with 30 days' notice to existing subscribers.

Free Trial

New Professional plan subscribers receive a 7-day free trial. You will not be charged until the trial period ends. You can cancel anytime during the trial without charge.

Refund Policy

We offer a 30-day money-back guarantee for new Professional plan subscriptions. If you are not satisfied with the Service within the first 30 days of your paid subscription, contact us at info@cleartimeline.com for a full refund.

Refunds are available under the following conditions:

• Request made within 30 days of the initial payment (not renewal payments)
• Account has not been used to abuse the Service
• Applies to first-time subscribers only (not re-subscriptions)

The following are not eligible for refunds:

• Renewal payments (monthly or annual)
• Partial months of service
• Subscriptions cancelled after the 30-day refund period
• Accounts terminated for Terms of Service violations

If you cancel your subscription, you will retain access to paid features until the end of your current billing period. After that, your account will automatically downgrade to the free Starter plan.

Service Availability and Limitations

We strive to provide reliable and uninterrupted access to the Service. However, unforeseen circumstances may occasionally affect availability. We do not guarantee that the Service will be available at all times or that it will be free from errors or interruptions.

Updates and maintenance may be performed periodically, which may result in temporary service interruptions. We reserve the right to modify or discontinue the Service (or any part of it) at any time with reasonable notice.

While we maintain regular backups, you are responsible for maintaining your own backups of critical data. We recommend regularly exporting your project timelines.

Disclaimer of Legal Advice

THE SERVICE IS PROVIDED FOR DOCUMENTATION PURPOSES ONLY. NOTHING IN THE SERVICE CONSTITUTES LEGAL, TAX, OR FINANCIAL ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS BEFORE RELYING ON ANY DOCUMENTATION FOR LEGAL DISPUTES OR PROCEEDINGS. WE DO NOT PROVIDE LEGAL SERVICES OR GUARANTEE THE LEGAL VALIDITY OF ANY DOCUMENTATION.

Liability

The Service and all content provided through it are offered on an "as is" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We and our suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to damages for loss of profits, data, or other intangible losses, or any decisions made based on documentation provided through the Service.

Specifically, "consequential loss" includes any form of indirect loss, such as loss of profit, revenue, business, goodwill, opportunity, or anticipated savings, whether arising under statute, contract, tort (including negligence), indemnity, or otherwise.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM (OR £100 IF YOU HAVE NOT PAID US ANYTHING).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, our liability is limited to the maximum extent permitted by law.

Account Termination

You may delete your account at any time through your account settings. Upon deletion, your personal information and project data will be permanently deleted within 90 days, and any active subscription will be cancelled (no refund for unused time, except within the 30-day refund period).

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your payment fails (for paid accounts)
• We are required to do so by law

We reserve the right to suspend or terminate your access to the Service and these Terms immediately upon written notice if you breach any provision of these Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in England and Wales for any disputes arising out of or relating to these Terms or the Service.

As Prime Techix operates remotely, service of legal documents for disputes should be sent to info@cleartimeline.com.

Statute of Limitations

Any claim or cause of action arising out of or related to your use of the Service must be filed within one (1) year after such claim or cause of action arose, or it will be permanently barred.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

Miscellaneous

These Terms constitute the entire agreement between you and Prime Techix regarding your use of the Service. Any additional or conflicting terms proposed by you in any purchase order, request, or other document are expressly rejected by us and shall have no effect.

The failure of ClearTimeline to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Section headings are for convenience only and have no legal or contractual effect.

These Terms do not create any third-party beneficiary rights. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
